General Provisions
1.1. This offer is an invitation from the official resources of the brand "Emmy Blare," such as:
(hereinafter referred to as the "Seller") to enter into a Distance Purchase Agreement for the sale of goods through the Online Store (hereinafter referred to as the "Agreement"). The Public Offer (proposal) is posted on the official website and on the Seller's Instagram and Facebook pages (hereinafter referred to as the "Online Store").

1.2. The moment of full and unconditional acceptance by the buyer of the Seller's offer (acceptance) to conclude an electronic purchase agreement for the sale of goods is considered to be the buyer's payment for the order according to the terms of this Agreement, within the timeframes and at the prices indicated on the Seller's Online Store.
Concepts and Definitions
2.1. In this offer, unless the context requires otherwise, the following terms have the meanings specified below:
  • "Product" – footwear, accessories, components, and accompanying items.
  • "Online Store" – in accordance with the Ukrainian Law on Electronic Commerce, a means for presenting or selling goods, works, or services by entering into an electronic agreement.
  • "Seller" – the company that sells the goods presented on the online store.
  • "Buyer" – a natural person who enters into an agreement with the seller on the terms outlined below.
  • "Order" – the selection of individual items from the list of goods indicated by the buyer when placing the order and making payment.
Subject of the Agreement
3.1. The seller agrees to transfer the goods to the buyer's ownership, and the buyer agrees to pay for and accept the goods under the terms of this agreement.

This agreement regulates the sale and purchase of goods in the online store, specifically:
  • The voluntary selection of goods by the buyer in the online store;
  • The independent or manager-assisted placement of an order by the buyer in the online store;
  • The payment of the order by the buyer placed in the online store;
  • The processing and delivery of the order to the buyer's ownership under the terms of this agreement.
ORDER PLACEMENT PROCEDURE
4.1. The buyer has the right to place an order for any product available on the online store's website.
4.2. Each item can be included in the order in any quantity.
4.3. If the item is out of stock, the company's manager is obligated to notify the buyer (by phone, email, or through available messaging services).
4.4. If the item is unavailable, the buyer has the right to replace it with a similar product, refuse the item, cancel the order, or wait for the production of the item within the manufacturing timeframe specified by the seller.
ORDER PAYMENT PROCEDURE
5. Payment and Delivery Procedure
5.1. Payments between the parties under this agreement shall be made in the national currency of Ukraine by one of the following methods:
5.1.1. By transferring the corresponding amount of money from the buyer to the seller’s bank account, according to the banking details specified in the invoice for the relevant product provided to the buyer by the seller.
5.1.2. In cash to the buyer's authorized representative upon receipt of the goods.
5.1.3. By bank transfer through any bank according to the issued invoice.
5.1.4. By bank transfer through the payment service on the website - WayForPay (Visa, Mastercard, Apple Pay, Google Pay).
5.2. The date of payment by the buyer for the goods is considered to be the date the corresponding sum is received in the seller’s bank account.
5.3. The buyer is obliged to pay 100% (one hundred percent) of the value of the goods upon receipt of the package, within the time period specified by the postal service, which performed the shipment, for the storage of the package at the post office, as outlined in paragraph 5.9. of this agreement, provided the ordered goods are available in the seller’s warehouse, with mandatory prepayment of 150 UAH to the seller’s account or through a payment system link.
5.3.1. For orders outside of Ukraine, the buyer is obliged to pay 100% (one hundred percent) of the cost of the goods and delivery before the shipment.
5.4. Before the goods are delivered to the buyer, the employees of the online store and/or the courier or third-party delivery service authorized by the seller may request the buyer to provide proof of payment for the goods.
5.5. In case of partial or late payment for the ordered goods by the buyer, the seller reserves the right to either provide the goods, suspend, or completely refuse to fulfill the obligations undertaken, and will not be responsible for any consequences of such actions. In such cases, the seller will inform the buyer about these events and offer possible solutions to resolve the situation and properly process the order for fulfillment.
5.6. Goods are only provided after full payment has been received by the seller, which means the 100% (one hundred percent) payment of the ordered goods according to the prices valid at the time of placing the order.
5.7. The delivery of the ordered goods is carried out under the terms specified on the website.
5.8. Delivery of the goods is carried out by the following methods: 5.8.1. By the seller, with the cost of delivery added to the price of the goods (to the building entrance).
5.8.2. By courier or shipping service at the buyer's expense.
5.8.3. By the buyer from the seller's warehouse, upon prior agreement.
5.8.4. By another shipping service at the buyer’s expense.
5.9. In the case of delivery by the seller, the seller is responsible for the safety of the goods until they are handed over to the buyer.
5.10. In the case of delivery by a transport company or courier service, the transport company or courier is responsible for the safety of the goods until they are handed over to the buyer.
5.11. The seller undertakes to deliver the goods to the buyer within 5 (five) working days from the moment of receiving the order, provided the goods are available in the seller's warehouse.
5.12. In case of delay in delivery not caused by the seller, the delivery time may be extended by 10 (ten) calendar days, with prior notification to the buyer of the delay via email, phone, or available messaging services. Such extension of delivery time shall not be considered a breach of the agreement.
5.13. Ownership of the goods passes to the buyer only upon full (100%) payment for the goods.
5.14. In cases provided for in paragraph 5.8.1 of this agreement, the seller informs the buyer about the cost of delivery when placing the order.
5.15. In cases specified in paragraphs 5.8.2–5.8.4 of this agreement, the seller's managers provide the delivery cost information via phone or messaging services on the buyer's specified phone number before and/or on the day of shipment.
5.16. If the buyer is not present at the time of delivery at the specified location and time, as indicated in the application, a paid re-delivery will be charged according to the tariffs of the transport company used for delivery.
5.17. The buyer may be refused the purchase of goods if the goods are unavailable (out of stock).
Responsibility of the Parties
6.1. The Parties are responsible for the non-fulfillment or improper fulfillment of the terms of this agreement in accordance with the provisions of this agreement and the current legislation of Ukraine.
6.2. The Seller is not responsible for:
  • Changes in the appearance of the goods made by the manufacturer, if the updated product is presented in the online store;
  • Minor discrepancies in the materials of the sole, which may vary due to the specific nature of the material during production;
  • Minor discrepancies in the color scheme of the product, which may differ from the original product solely due to the varying color rendering of monitors on personal computers, phones, tablets, and other gadgets;
  • The content and accuracy of the information provided by the Buyer during the order process;
  • Delays and interruptions in service (order processing and delivery of goods) caused by factors outside the Seller's control;
  • Illegal actions carried out by the Buyer using access to the Internet;
  • Transfer of the Buyer’s network identifiers (IP, MAC addresses, login, and password) to third parties.
6.3. The Buyer, when using the provided access to the Internet, is independently responsible for any damage caused by their actions (personally, even if another person was using their login) to individuals, their property, legal entities, the state, or moral principles.
6.4. In the event of force majeure circumstances, the Parties are released from the obligation to perform the terms of this agreement. For the purposes of this agreement, force majeure circumstances refer to events that are extraordinary and unforeseeable, which prevent or objectively hinder the fulfillment of this agreement, and whose occurrence could not have been anticipated or prevented by reasonable means.
6.5. The Parties will make every effort to resolve any disputes solely through negotiations.
Other Conditions
7.1. The online store reserves the right to unilaterally amend this agreement, provided that the amended version is published in advance on the website https://emmyblare.com, https://emmyblare.com.ua and on the store's pages on Instagram @emmy_blare_shoes and Facebook @emmyblareshoes.
7.2. The online store is created for the organization of remote sales of goods via the internet.
7.3. The Buyer is responsible for the accuracy of the information provided when placing an order. By accepting the offer (placing an order and making the payment), the Buyer gives their unconditional consent to the Seller to collect, process, store, and use their personal data in accordance with the law of Ukraine "On Protection of Personal Data."
7.4. The payment made by the Buyer for the order placed in the online store means the Buyer's full agreement with the terms of the purchase-sale agreement (public offer).
7.5. The actual date of the electronic agreement between the Parties is the date of acceptance of the terms in accordance with Article 11 of the Law of Ukraine "On Electronic Commerce."
7.6. Using the online store's resource to view goods, as well as to place an order, is free of charge for the Buyer.
7.7. The information provided by the Buyer is confidential. The online store uses the Buyer’s information exclusively for order processing, sending notifications to the Buyer, delivering goods, making settlements, and other related purposes.
Return Procedure for Goods of Proper Quality
8.1. The return and exchange period for goods is within 14 calendar days from the moment of receipt, in accordance with the legislation of Ukraine, provided that the product's appearance, packaging, and labels are preserved.
8.2. The return of the goods to the online store is at the expense of the buyer, except in warranty cases as specified in clause 8.3.
8.3. The return of goods within the warranty period or due to a manufacturing defect is at the seller's expense.
8.4. When returning goods of proper quality, the online store will refund the buyer the amount paid for the goods, minus the compensation for delivery costs incurred by the online store to deliver the goods to the buyer.
8.5. Used goods are not subject to exchange or return.
TERM OF AGREEMENT
9.1. The electronic contract is considered concluded at the moment the party sending the offer receives a response accepting the offer, in accordance with Part 6 of Article 11 of the Law of Ukraine "On Electronic Commerce."
9.2. This contract may be terminated by mutual consent of the parties before the expiration of its term and before the actual delivery of the goods by returning the funds.
9.3. The parties have the right to unilaterally terminate this contract in case of non-performance by one of the parties of the terms of this contract, and in cases specified by the current legislation of Ukraine.
